Terms of Service

These terms are an agreement between you and Downtick, a service operated by Staffify, LLC ("Downtick", "we", "us"). By creating an account or using Downtick, you agree to them. If you don't agree, please don't use the service.
1. What Downtick does
Downtick watches purchases you connect. When a retailer's own price drops within that retailer's price-adjustment window, we request the difference back on your behalf. Where a store won't adjust but the item is still returnable, we may identify a return-and-rebuy that recovers the difference. We only act where the retailer's published policy allows it, and we never file a false or unsupported claim.
2. Your account
You must be at least 18 and provide accurate information. You're responsible for keeping your password secure and for activity on your account. One account per person.
3a. Our fee, and how billing disputes work
You authorize us to charge the card you place on file a success fee of 15% of any amount we recover for you, billed only after that recovery posts. This authorization stays in effect until you remove your card or close your account. Each charge is tied to a specific recovery, and we keep a record of the authorization, the retailer, the amount recovered, and the date.
Contact us first. If you believe a charge is wrong, you agree to contact us at billing@downtick.ai before disputing it with your bank or card issuer, and to give us 15 days to investigate and resolve it. We will refund any fee charged in error, and we reverse our fee if a retailer later reverses your refund. Nothing in these terms limits any right you have under law or your card network's rules; this clause asks only that you give us the first chance to make it right, which is almost always faster than a dispute.
Chargebacks made in bad faith. If you dispute a fee for a recovery you actually received and kept, we may suspend your account, and you remain responsible for the fee you agreed to plus any related costs we incur.
3b. Arbitration and class action waiver
Any dispute between you and Downtick that we can't resolve informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Palm Beach County, Florida. You and Downtick each waive the right to a jury trial and to participate in a class or representative action. You may opt out of this section by emailing legal@downtick.ai within 30 days of creating your account, and small-claims court remains available for qualifying claims.
3. Authorizing us to act for you
By connecting an order, you authorize us to contact retailers and request price adjustments or refunds on your behalf using the order details you provide or that we detect. Some retailers don't allow third-party filing; in those cases we prepare the claim and you submit it yourself.
4. Our fee
Downtick charges a success fee of 15% of each refund we recover for you. We charge it only after the refund posts to you. There is no membership and no monthly fee, and no fee if we recover nothing. You authorize us to charge the card you keep on file for this fee when a refund we identified or filed posts to you. This is your standing authorization for those charges.
5. No guarantee
Retailer policies change and claims can be denied. We do not guarantee that any refund will be recovered. We only earn a fee when money is actually recovered for you.
6. Payments
Card payments are handled by Stripe. We store a payment token and your card's brand and last four digits, never the full number. We charge only after a refund posts. If a charge fails, we may retry it.
7. Canceling
You can remove your card or close your account at any time. Fees already earned on refunds that have posted remain due.
8. Acceptable use
Don't submit false information, misuse the service, or attempt to interfere with it. We may suspend accounts that do.
9. Disclaimers and liability
The service is provided "as is." To the extent allowed by law, our total liability to you is limited to the fees you paid us in the three months before the claim. We are not liable for retailer decisions or for indirect or consequential damages.
10. Changes
We may update these terms. If we make a material change, we'll let you know. Continued use means you accept the update.
11. Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
